Terms & Conditions

These Terms & Conditions ("Terms") govern your access to and use of TCM CRM, a product of NTL Learning Solution Inc. ("NTL", "we", "us"), including the tcmcrm.ca marketing site and the TCM CRM clinic application (together, the "Service"). By requesting a demo, starting a free trial, or using the Service, you agree to these Terms on behalf of yourself and the clinic you represent.

1. Who this is for

The Service is built for Traditional Chinese Medicine and acupuncture practitioners and clinics. Core charting, payment, balance-ledger, and reporting features are available to clinics across Canada. Direct billing to government and private insurers is currently available to clinics in British Columbia only; availability in other provinces and territories is planned in future phases and is not guaranteed on any particular timeline.

2. Free trial

Where offered, a free trial runs for 30 days from activation. We may modify, suspend, or discontinue the free trial offer at any time. At the end of a trial, continued use of the Service requires an active paid subscription under the plan and pricing communicated to you at the time.

3. Subscriptions & billing

Subscription plans, pricing, and included practitioner/location limits are as described on tcmcrm.ca at the time of signup and may change with notice for future billing periods. Billing terms and payment details will be confirmed with you directly as part of account setup.

A one-time $100 setup fee applies to new clinics, covering the work of provisioning your clinic's own dedicated code repository, hosted deployment, and database — set up under accounts your clinic owns, with credentials handed to you directly on completion. If your clinic maintains an active paid subscription for 12 consecutive months, we will reimburse the $100 setup fee on the 13th month.

4. Your responsibilities

  • You are responsible for the accuracy of clinical, patient, and billing information your clinic enters into the Service.
  • You are responsible for your clinic's compliance with applicable healthcare, privacy, and professional-licensing laws and regulations in your jurisdiction, including obtaining any patient consents required by law.
  • The Service is a documentation, payment, and administrative tool — it does not provide medical advice and does not substitute for a practitioner's own clinical judgment.
  • You are responsible for keeping your account credentials secure.

5. Acceptable use

You agree not to misuse the Service — including attempting to access another clinic's data, disrupting the Service, or using it for any unlawful purpose.

6. Intellectual property

NTL owns the Service, including its software, design, and content. Your clinic retains ownership of the patient and clinical data it enters into the Service.

7. Termination

You may stop using the Service at any time. We may suspend or terminate access for non-payment, breach of these Terms, or unlawful use. We will make reasonable efforts to help your clinic export its data on termination.

8. Disclaimers & limitation of liability

The Service is provided "as is." To the maximum extent permitted by law, NTL disclaims warranties of any kind and is not liable for indirect, incidental, or consequential damages arising from use of the Service. Nothing in these Terms limits liability that cannot be limited under applicable law.

9. Governing law

These Terms are governed by the laws of British Columbia, Canada.

10. Changes to these Terms

We may update these Terms from time to time. Continued use of the Service after changes take effect constitutes acceptance of the updated Terms.
